Dear Dr. Morris,

Thank you for your letter dated October 26, 1998.  As you mentioned in that
letter you had coincidentally filed your lawsuit the day before I wrote my
letter of October 21, 1998. Given that we are now engaged in litigation in
the federal court system, it is appropriate for the court to determine the
course of this dispute.

We continue to be at odds about what issues will be before the court. With
such a disparate view of these issues, a meeting at this time will have
little success of achieving a resolution.  I will, therefore, not be
meeting you in person at this time.

Should you, at any time, retain counsel, please share my correspondence
with him/her.  Because we are now engaged in litigation, you may not speak
directly with any defendant who is represented by counsel.  If you have any
questions concerning UNUM defendants or UNUM's vendors' defendants, you may
call UNUM's outside counsel, Patricia A Peard, Esq. of Portland, Maine Law
firm of Bernstein, Shur, Sawyer & Nelson at (207) 774-1200.
